The rules between FunnelOps and the Partner that resells the platform with their own brand, and what corresponds to each one before the end customer.

These Terms regulate access to and use of the FunnelOps platform, operated by Wiizo Technology and Automation Ltda., whether or not registered on the CNPJ 58,979,346/0001-63, with direction in R. Barão do Cerro Azul, 952, Centro, São José dos Pinhais/PR, CEP 83005-430, onwards .Wiizo , .FunnelOps . or . model white-label the only one on which the platform is marketed.
They apply to the website, platform, applications, APIs, integrations, support, testing, AI resources and additional modules. By creating an account, hiring or using the platform, the Partner declares that you have read and accept these Terms, Privacy policy and the Subscription agreementAnyone who accepts on behalf of a company declares that they have the power to bind it.
If there is conflict, the most recent specific document prevails on the subject under regulation; these Terms complement others.
The relationship has three layers, and confusing them is the source of most problems:
There is no corporate link, franchise, representation, territorial exclusivity or employment relationship between FunnelOps and Partner. Each responds to their own obligations.
The recruitment is intended for Legal person with active CNPJ of marketing agency, advertising, technology or similar activity, according to the current commercial criteria. Whoever operates the account must be at least 18 years old and have powers of representation.
We may request proof of identity, NPCJ, representation and activity, and reject or condition approval for reasons of risk and compliance. Registration information must be true and kept up to date.
During the term and by payment, we grant the Partner limited, non-exclusive, non-transferable and revocable license to access the platform and make it available to its customers with its identity.
The Partner may present the platform as your own product, apply logo, colors, typography and domain, and create your own plans and materials. can't. declare that it has developed the technology when this leads to a relevant error to third parties, present the association as franchise, company, exclusive representation or certification, or use FunnelOps trademarks without written authorization.
The license does not transfer source code, infrastructure, intellectual property or territorial exclusivity. The limits of functionalities, connections, companies, storage and credits depend on the plan and the proposal.
Activities carried out with valid credentials are assigned to the environment until we are notified of the commitment. We can apply verification, preventive blocking or redefinition of access when there is a risk to the environment, platform or third parties.
The Partner, and consequently its customers, cannot use the platform to:
It is the Member's duty to transmit these rules to their clients and act when the violation is identified. We can investigate signs of violation and take proportionate measures, preserving the evidence and cooperating with authority when required by law.
The contact base that transits in the environment is the final customer and is under the responsibility of him and the Partner. It is up to this chain to guarantee legal basis, consent where appropriate, identification of the sender and means of disconnection.
Connections can occur by official API or other technologies, including matching by QR Code. Characteristics and risks vary depending on the modality. We do not declare that any connection is official API and we do not control the decision to block, restrict, approve or change the policy of WhatsApp, Meta, Google, operators or other suppliers.
We do not guarantee the delivery, reading or conversion of messages, this depends on third parties, the content, the reputation of the number and the recipient. The practice that generates the complaint or the blocking may lead to the suspension of the connection in question.
AI resources can produce an incorrect, incomplete or inadequate response. Who sets the instructions, the knowledge base, the liberated capabilities and the point of human intervention is their Partner or customer, and it is that chain's responsibility to review the result and assess the risk before sending it to the consumer.
The AI does not replace legal, medical, financial or accounting advice, and should not be used for high impact decisions without legal basis, transparency and human supervision. Prompts and contents are processed by the providers necessary for functionality, according to Privacy policy. No se insertarán secretos o datos sensibles más allá de lo necesario.
The Content remains from the provider. By inserting it, FunnelOps is granted a non-exclusive license, limited to the duration and purposes of hosting, copying, transmitting, processing, adapting technically and displaying the Content to provide, protect and support the Service.
We do not use the Content of the environment for own purposes or to train general use AI models. We may restrict manifestly illegal or malicious content, preferably with notice when urgency and law allow. Suggestions and comments can be used to improve the platform without revealing confidential information.

The Partner hands over his own portfolio to the platform. Instead, we assume that:
Failure to comply with these commitments authorizes the Partner to terminate without a fine, without prejudice to other relevant measures.
Plan, limits, connections included, additional, periodicity, values and maturity are included in the proposal, order, panel or invoice. Values are not published on the website: are presented in the attention, according to the size of the operation.
The subscription is recurring and is renewed according to the contracted mode, until valid cancellation. Additional requests for connections, modules, credits generate collection. Recovery failure does not extinguish expired value; delay, after communication and reasonable period of regularization, access may be limited or suspended.
The price the Partner charges its customers is their exclusive decision, as well as the margin and the form of collection.
We may suspend or limit the environment in the event of a risk of safety, order of authority, non-regularized breach or relevant breach of these Terms, preferably with advance notice and opportunity for correction, unless urgent.
The Partner may cancel in accordance with the contract. The link is closed, the license of use and trademark is terminated, and the Partner must communicate to its customers in advance as the relationship requires. The data export period follows the Subscription agreement.
We work to keep the platform available, with scheduled maintenance in lower impact windows and communication when there is relevant effect. Interruptions can result from third parties, networks or events outside our reasonable control.
The support follows the string: the Partner attends to the final customer; we serve the Partner. El nivel de servicio específico, cuando exista, se define en la propuesta o en el aditivo.
The processing of personal data follows Privacy policy, which details the roles: we are controllers of the Partner's data and Operator of the data of his operation, in which the Partner is the controller.
Each party shall maintain confidentiality of the other party's confidential information, using it only to execute the contract, with the same care as it applies to the information itself, and for a reasonable period of time after termination.
The platform, code, architecture, interfaces, documentation and trademarks of FunnelOps are owned by Wiizo and are not transferred by the contracting. The Partner's brand, domain and materials remain its own.
It is prohibited to copy, adapt, decompile, extract components or create product derived from the platform, unless legally possible.
Integrations, channels, gateways and AI providers are operated by third parties, under their terms and policies. Activation is the decision of the Partner or his client. We do not respond to the non-availability, rule change, blocking, tariff or interruption decided by such third parties.
The platform is supplied in the state in which it is located, without warranty of commercial result, sales volume, delivery of messages or campaign performance, which depend on factors beyond our control.
Within the limits of the law and in the commercial relationship, we are not liable for loss of profits, loss of opportunity, indirect damage or by decision made by the Partner or its customers on the basis of the results of the AI. Our aggregate liability is limited to the amount paid by the Partners in the 12 months prior to the event, except indignity or non-derogable rule.
We do not answer to the end customers of the Partner, with whom we do not maintain contractual relationship.
The Partner shall indemnify FunnelOps for losses arising from the use of the platform in violation of these Terms, the law or the rights of third parties, including for the act of its clients, for irregular contact, for content sent and for a promise made to the final client that does not correspond to the contractee.
These Terms can be updated for legal, technical or service reasons. Material change is communicated by notice on the platform or by email, usually 30 days in advance. Use after the new version is effective means agreement; anyone who does not agree may terminate under the contract.
Brazilian law is applied. The forum of the São José dos Pinhais/PR region is chosen to resolve conflicts, except for a legal rule that determines a different forum.
The nullity of a clause does not affect others. Tolerance in respect of non-compliance does not mean renunciation. The Partner may not assign the contract without written consent; FunnelOps may assign it in corporate reorganization, maintaining the conditions.
